You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle will depend on the type of subscription plan you choose when you subscribed to the Services.

Cancellation

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

We may include software for use in connection with our Services. If such software is accompanied by an end user license agreement (“EULA”), the terms of the EULA will govern your use of the software. Contributions may be viewable by other users of the Services and through third-party websites. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

  • The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.

  • Your Contributions do not violate any applicable law, regulation, or rule.
  • Your Contributions do not violate the privacy or publicity rights of any third party.
  • Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
  • Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
  • Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation.

Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.

You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Services. You are solely responsible for your Contributions to the Services and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Services; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

We may provide you areas on the Services to leave reviews or ratings. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

 

  1. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

 

  1. GOVERNING LAW

These Legal Terms are governed by and interpreted following the laws of Cyprus, and the use of the United Nations Convention of Contracts for the International Sales of Goods is expressly excluded. If your habitual residence is in the EU, and you are a consumer, you additionally possess the protection provided to you by obligatory provisions of the law in your country to residence. VivaMova Ltd and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Limassol, which means that you may make a claim to defend your consumer protection rights in regards to these Legal Terms in Cyprus, or in the EU country in which you reside.

 

  1. DISPUTE RESOLUTION

 

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

Any dispute arising from the relationships between the Parties to these Legal Terms shall be determined by one arbitrator who will be chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration being part of the European Centre of Arbitration having its seat in Strasbourg, and which are in force at the time the application for arbitration is filed, and of which adoption of this clause constitutes acceptance. The seat of arbitration shall be Limassol, Cyprus. The language of the proceedings shall be English. Applicable rules of substantive law shall be the law of Cyprus.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

 

  1. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

 

  1. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES’ CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.   1. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE three (3) mONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

 

  1. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

 

  1. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups
of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

 

  1. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. (the "Client"), on the one hand, and Teacher/ Professor (the "Service Provider"), on the other hand,  collectively referred to as the "Parties" and separately – as the “Party”. 
 

RECITALS 

The Client wishes to be provided with the Services (as specified below) by the Service Provider and the Service Provider agrees to provide the Services to the Client on the terms and conditions of this Agreement.  

1. Services

The Service Provider shall provide to the Client the Services in relation to support of the Client’s business projects ("Services") in accordance with the terms and conditions of this Agreement. 

The Services may include, but are not limited to: 

  1. Conducting classes, lessons, clubs, calls, videocalls, master classes in accordance with the terms of the agreement between the Parties. 
  2. Other IT and other ad-hoc tasks necessary for the execution of the lessons and master classes such as, for example, review of the materials, development of the materials, adapting of materials used during master classes. 

And more specifically, Service Provider may: 

  •           Proceed with all the studies and research needed to complete any ad-hoc tasks assigned by the Client; 
  •           Keep monitoring of online progress status and tasks execution; 
  •           Work with the online database, program, have codes and accesses to various Internet platforms; 
  •           In general, take all the steps and actions up until the completion of all assigned tasks;  
  •           Act under authorization given by the Client for the purposes of completion of all the Services, at all times and always acting in good faith and in the best interest of the Client.  

 

2. Delivery of the Services
  1. Start date: The Service Provider shall commence the provision of the Services starting from the date when this Agreement is duly executed between Parties.  
  2. Timing.  The Service Provider shall prioritize performance of the Services as may be necessary or as agreed upon by the Parties and will undertake commercially reasonable efforts to perform the Services.  

 
The Client may at his discretion approve the Services or provide written comments and/or corrections sufficient to identify the Client’s concerns, objections, or corrections to the Service Provider, as the case may be. 

  1. End date: The Service Provider will provide Services until determined by the Parties.  

 

3. Site

The Service Provider shall provide the Services online, via Internet platform or as otherwise directed by the Client.  

 

4. Price
  1. The cost of the Services shall be calculated on per academic hour basis (60 to 70 minutes). 
  2. Payment for the rendered Services shall be made by the Client to the Service Provider’s bank account upon the invoice issued by the Service Provider on or about the 25th day of the month and shall be settled by the Client within 10 business days unless Parties agree otherwise.  
  3. The Price includes any Service Provider’s out-of-pocket expenses for the provision of the Services.  
  4. The Price may change by an agreement of both Parties one month before the start of advertising or a group formation or after completion of the course currently being conducted by the Performer. 
    During the study of one level (A1, A2, B1, B2, C1, C2), the price cannot be changed to avoid losing students. 

 

5. Payment 
  1. The Client accepts the Services and their corresponding cost by making payment under the invoice billed to the Client. The payment shall be made within first 10 (ten)  business days of the next month after lessons were provided after the invoice is issued to the Client. 
  2. All payments under this Agreement shall be made in EUR.  
  3. All bank fees associated with transfers using Wise or Revolut shall be borne by the Client. If the Supplier wishes to receive payments more frequently and/or to different bank accounts, the Supplier shall bear all associated costs. 

Important notes: 

Accurate banking details: Ensure that all necessary banking details for transferring funds are clearly specified in the contract.

All payments under this Agreement shall be made using the below-mentioned Method of Payment. 

Service Provider will accept the following forms of payment: Bank Transfer (EUR) to the bank account of the Service Provider as communicated between the Parties and/or payment in cash.  

 

6. General terms

6.1 Intellectual Property Rights

In accordance with the terms and conditions of this Agreement, the Service Provider may create certain intellectual property ("Created IP"), including, but not limited to, plans, presentations, materials, drawings, specifications, reports, advice, analyses, designs, methodologies, code, artwork, or any other intellectual property as required to render the provision of Services to the Client.  

Unless the Parties otherwise agree in writtings, any such Created IP generated by the Service Provider in connection with the provision of Services to the Client shall belong to the Client. 

Any intellectual property provided by the Client to the Service Provider to assist in the provision of Services, that was not created by Service Provider pursuant to this Agreement, shall belong to the Client. 

 

6.2. Warranty  

a. The Client hereby agrees to: 

  •           Cooperate with the Service Provider for anything the Service Provider may reasonably require for the purposes of provision of Services and to provide any information required by the Service Provider relevant to the provision of Services; 
  •           Accept the result of the Services and to pay the fees for the Services. 

b. The Service Provider represents and warrants that the Service Provider is a professional and will perform the Services with reasonable care and skill. The Service Provider hereby agrees to: 

  •           Provide the Services in accordance with this Agreement without the delegation and assistance of any third party; 
  •           Periodically address the Client with any suggestions to improve the quality of Services;  
  •           If, through the fault or negligence of the Service Provider, deficiencies were made that may lead to a deviation from the terms of this Agreement, the Service Provider is obliged to solely eliminate such deficiencies and mistakes at his own cost and expense;  
  •           Pay all and any applicable taxes from the income that derives from the provision of Services by the Service Provider as per this Agreement.  
  •           Accept the Professional training arranged by the Client in a manner and in a way as specified by the educational plan. 
  •           Provide the Services on as many academic hours basis as may be required or requested by the Client.  

 

6.3. Term and Termination     

a. This Agreement shall be effective on the date hereof and shall continue until terminated in the Clause 2c of this Agreement or until the completion and provision of all the Services to the full satisfaction of the Client.  

b. This Agreement can be terminated in following cases:  

  •           By the Service Provider by giving 1 month notice or more, always keeping in mind that the Service Provider must finish the Services until the end for any current/ongoing and open groups of participants of the master classes( А1, А2, В1, В2, С1, С2) 
  •           By the Client by giving 1 week notice to the Service Provider due to any reason. 
  •           By the Client by giving no notice (with an immediate effect) to the Service Provider if the Service Provider fails to provide the Services at an assigned time and have not given the Client 2-days warning about such absence.  
  •           By the Service Provider by giving 1 month notice, if the Client fails to pay any requisite Fees within thirty (30) business days after issuing the invoice, always keeping in mind that the Service Provider must finish the Services until the end for any current/ongoing and open groups of participants.  
  •           By giving 3 month notice by any Party, if voluntary arrangement is approved, a bankruptcy or an administration order is made or a receiver or administrative receiver is appointed over the Party’s assets or an undertaking or a resolution or petition to wind up the Party is passed or presented (other than for the purposes of amalgamation or reconstruction) or any analogous procedure, or if any circumstances arise which entitle the court or a creditor to appoint a receiver, administrative receiver or administrator or to present a winding-up petition or make a winding-up order in respect of the Party; 

c.     Any termination of under this subpart shall not affect the accrued rights or liabilities of either Party under this Agreement or at law and shall be without prejudice to any rights or remedies either Party may be entitled to. Any provision or subpart of this Agreement which is meant to continue after termination or come into force at or after termination shall not be affected by this subpart. 

 

6.4.  Relationship of the Parties 

The Parties acknowledge and agree that nothing in this Agreement shall be deemed to constitute a partnership, joint venture, agency relationship or otherwise between the Parties. 

The Service Provider shall not be permitted to use subcontractors or third parties in the provision of Services to the Client.  

 

6.5.  Confidentiality 

The Service Provider will not use, copy, adapt, alter or part with possession of any information of the Client which is disclosed or otherwise comes into its possession under or in relation to this Agreement and which is of a confidential nature, confidentially disclosed by the Client in a course of its operational (hereinafter the “Confidential Information”).  

For the purposes of this Agreement Confidential Information shall mean all and any information given by the Client to the Service Provider in any form, an, in general all written business, financial, operational, IT and any other information or data relating to the Client and its affiliates and/or the Transaction including business plans, business goals, ongoing, past or future projects, notes, memoranda, analysis, compilations, calculations, studies and other documents which contain or otherwise reflect such information which are made available to the Service provider, as well as non-public information relating to the Client, its affiliates, employees, clients and suppliers, including all materials and information identified by the Client to be confidential or proprietary in nature relating to the Client and/or its affiliates’ business, finances, operations, strategic planning, marketing and other business plans, research and development activities, forecasts, marketing and other trends, products, designs, systems, improvements, processes, technical specifications, flowcharts, diagrams, source codes, schematics, notes, data memoranda, know-how, purchasing, strategies, business and trade secrets, pricing policies, business strategies, engineering design and specifications, and any materials and information which, from the circumstances in which they are made available to the Service Provider by the Client, in good faith ought to be treated as confidential or proprietary; 

as well as in general, all information relating to the business or products of the Parties and/or their affiliates, whether of a technical, business, financial or any other nature, which has been or will be disclosed orally, in writing, electronically, visually, or in any other form or by any other means, including, without limitation, trade secrets, patents, patent applications, copyrights, trademarks, know-how, processes, ideas, inventions (whether patentable or not), formulas, data, software programs, software source documents,  application programmer's interface databases, technical information, drawings, designs, algorithms, technology, circuits, layouts, interfaces, materials, schematics, materials, samples, prototypes, models, test results, financial and business information, sales figures, sales estimates, internal performance results relating to the past, present or future business activities of the parties, product development plans, forecasts, business, product or marketing strategies, customer, consumer, or supplier information, names and expertise of employees and consultants and all other information that is competitively sensitive and not generally known to the public, and 

Confidential Information relating to procedures, plans, methods, means including, without limitation, the Client’s and/or its affiliates’ drafts, originals, and copies of any contracts, agreements, resolutions, briefs, certificates, statutory documents, memoranda, estimates, methods, reports, trial balances, nominal ledgers, management reports, financial statements, presentations, opinions, legal opinions, calculations, and other documents and information containing data, references and records in any form whatsoever in respect of the aforementioned transactions, content of correspondence, meetings, negotiations, discussions, and deliberations on commercial and other terms in connection with the above, information about persons who participate, attend or are mentioned in the above, and any other information relating thereto. 

The Service Provider agrees to return the Confidential information to the Client at the termination of this Agreement and agrees not to disclose the Confidential information to any third party within 5 (five) years after the termination of the Agreement. 

The Service Provider agrees and acknowledges that the Confidential Information is of a proprietary and confidential nature and that any disclosure of the Confidential Information to a third party in breach of this Agreement cannot be reasonably or adequately compensated for only in money damages and would cause irreparable injury to the Client. Accordingly, the Service Provider agrees that the Client is entitled to, in addition to all other rights and remedies available to it at law or in equity, an injunction restraining the Service Provider and any agents of the Service Provider from directly or indirectly committing or engaging in any act restricted by this Agreement in relation to the Confidential Information. 

 

 7. Miscellaneous  

a. The failure of either Party to enforce its rights under this Agreement at any time for any period shall not be construed as a waiver of such rights.  

b. If any part, term or provision of this Agreement is held to be illegal or unenforceable neither the validity or enforceability of the remainder of this Agreement shall be affected.  

c. Neither Party shall assign or transfer all or any part of its rights under this Agreement without the written consent of the other Party.  

d. This Agreement may not be amended for any other reason without the prior written agreement of both Parties.  

e. This Agreement constitutes the entire understanding between the Parties relating to the subject matter hereof unless any representation or warranty made about this Agreement was made fraudulently and, save as may be expressly referred to or referenced herein, supersedes all prior representations, writings, negotiations or understandings with respect hereto.  

f. Neither Party shall be liable for failure to perform or delay in performing any obligation under this Agreement if the failure or delay is caused by any circumstances beyond its reasonable control, such as: acts of god, war, civil commotion or industrial dispute. If such delay or failure continues for at least 7 days, the Client shall be entitled to terminate this Agreement by giving the notice in writing to the Service Provider.  

g. This Agreement will be construed in accordance with and governed by the laws of the Republic of Cyprus. Any dispute, controversy or claim arising out of, or in connection with, this Agreement, or a breach, termination or invalidity of this Agreement shall be settled by negotiations between the Parties. If the Parties which are parties to a dispute fail to settle the dispute by negotiations within thirty (30) days, than any dispute, controversy or claim arising out of or relating to this Agreement or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the London Center for Alternative Dispute Resolution Rules (A.D.R. London Center Ltd) which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London. The language to be used in the arbitral proceedings shall be English.
